Paid Subscription Agreement

This Paid Subscription Agreement (the “Subscription Agreement”) governs paid subscription access to the software service available at https://strophe.app/ (the “Service”). This Subscription Agreement forms part of, and supplements, the License Agreement and the Privacy Policy published on the Service. If there is a conflict between this Subscription Agreement and the License Agreement regarding paid subscriptions, this Subscription Agreement prevails to the extent of the conflict.

1. General provisions
1.1. Capitalized terms not defined in this Subscription Agreement have the meanings given to them in the License Agreement.
1.2. This Subscription Agreement is a legally binding agreement under which the Company provides the User with paid access to the Service on a subscription basis according to the tariff, plan, billing period, price, credit limits and other conditions selected by the User (the “Subscription”).
1.3. Current plans, prices, billing periods and included features are displayed on the Service, including at https://strophe.app/pricing, or during checkout. The price shown at checkout is part of this Subscription Agreement.
1.4. The Subscription may involve recurring automatic charges to the payment method provided by the User. By accepting this Subscription Agreement and completing checkout, the User expressly authorizes the Company and its payment service providers to charge the selected payment method in accordance with the selected plan and billing period.
1.5. This Subscription Agreement is concluded electronically when the User ticks the relevant checkbox or otherwise expressly accepts the Subscription Agreement and then completes the actions required to purchase or activate a paid Subscription. The User agrees that electronic acceptance and electronic records have legal effect in accordance with applicable electronic transactions laws.
1.6. The Company may update this Subscription Agreement by publishing a new version on the Service and/or by notifying the User by email, account notice or other available means where the change is material. Continued use of the paid Subscription after the effective date of the updated version constitutes acceptance of the updated terms, except where applicable law requires a different procedure.
2. Subscription fees and payment terms
2.1. The Subscription fee, currency, taxes, billing period and included features are determined by the plan selected by the User at checkout or in the account settings. Unless otherwise stated at checkout, fees are payable in advance.
2.2. The available billing periods may include, depending on current plans:

monthly billing;

annual billing;
-
another period displayed at checkout or in the pricing section of the Service.
2.3. The Company may offer discounts, promotional prices, trial periods or credits at its discretion. Unless otherwise stated, any discount applies only for the period expressly described at checkout or in the applicable promotion.
2.4. The User is responsible for any bank fees, currency conversion fees, card issuer fees, payment system fees and similar charges imposed by third parties in connection with payment for the Subscription.
2.5. Taxes, including value added tax or similar taxes, may be added or included in the Subscription fee where required by applicable law or as displayed at checkout. If the User is required to withhold any amounts under applicable law, the User shall gross up the payment so that the Company receives the full amount due, unless mandatory law provides otherwise.
2.6. Payment is processed through third-party payment service providers. The Company does not provide banking, payment-account, money transfer or card acquiring services to the User. Payment processing is subject to the terms, security procedures and availability of the relevant payment service provider, card scheme, bank or payment system.
2.7. Confirmation of payment may be provided by electronic receipt, invoice, payment confirmation or other record issued by the Company, payment service provider, bank or payment system.
3. Automatic renewal and recurring charges
3.1. Unless the User cancels the Subscription before the end of the then-current billing period, the Subscription will automatically renew for successive billing periods corresponding to the selected plan, and the Company or its payment service provider may automatically charge the User’s saved payment method for the renewal fee.
3.2. The renewal date is determined by the date of purchase or activation of the Subscription and the selected billing period. The exact timing of the charge may depend on the payment service provider, bank, card scheme or time zone processing the payment.
3.3. If a payment cannot be processed on the renewal date, the Company may make additional attempts to charge the payment method for up to three (3) consecutive days or another period reasonably required by the payment provider. The Company may suspend or limit access to paid features until payment is successfully completed.
3.4. If payment is not completed, the Subscription may be considered not renewed and the User’s access to paid features may be downgraded, suspended or terminated. The User remains responsible for any amounts lawfully due for the period during which access was provided.
4. Cancellation
4.1. The User may cancel the Subscription at any time through the account settings in the Service, where available, or by sending a cancellation request to hello@strophe.app.
4.2. Cancellation prevents future renewals. Unless mandatory consumer protection law requires otherwise or the Company expressly agrees otherwise, cancellation does not result in a refund for the then-current paid billing period, and the User may continue to access paid features until the end of that billing period.
4.3. To avoid being charged for the next billing period, the User must cancel before the end of the current billing period and before the next renewal charge is initiated.
5. Refunds
5.1. Except where required by applicable law or expressly stated in this Subscription Agreement, Subscription fees are non-refundable once the paid Subscription period has started, because digital access to the Service is made available immediately after purchase.
5.2. The Company may issue a refund in the following cases:

a duplicate or erroneous charge for the same Subscription period;

a technical error attributable to the Company or its payment provider that prevents access to the paid Service and cannot be remedied within a reasonable time;

a fraudulent or unauthorized charge, provided that the User promptly notifies the Company and has not breached the License Agreement or this Subscription Agreement;

another case where a refund is required by applicable consumer protection law or agreed by the Company in writing.
5.3. To request a refund, the User must contact the Company at hello@strophe.app and provide information sufficient to identify the account, transaction and reason for the request. The Company may request supporting documents such as receipts, transaction IDs or payment confirmations.
5.4. Approved refunds are normally made to the original payment method, unless another method is required by law or by the payment service provider. The timing of a refund may depend on the bank, card issuer, payment system or payment service provider.
5.5. Nothing in this Subscription Agreement limits any mandatory rights that a consumer may have under applicable UAE consumer protection legislation.
6. User responsibilities
6.1. The User represents and warrants that the User is authorized to use the selected payment method and that all billing information provided is accurate, current and complete.
6.2. The User is responsible for maintaining sufficient funds, payment limits and authorization on the selected payment method for recurring charges.
6.3. The User must promptly update the payment method if it expires, is cancelled, is replaced or can no longer be used for payments.
6.4. The User is responsible for all actions taken through the User’s account, including selection of a plan, activation of a Subscription, cancellation, purchase of additional credits and management of payment methods, except where such actions result from the Company’s breach of applicable law or the License Agreement.
7. Security and payment data
7.1. The Company may use third-party payment service providers to process payments and store payment tokens or credentials for recurring payments. The Company does not store the full payment card number, CVV/CVC code or other full card authentication data, except to the extent such storage is carried out by a payment service provider in accordance with applicable payment security standards.
7.2. The storage and use of payment credentials for future transactions is subject to a separate consent or authorization, where required. The User may withdraw such authorization by cancelling the Subscription, removing the saved payment method where available, or contacting the Company.
8. Suspension and termination
8.1. The Company may suspend or terminate the Subscription and access to paid features if payment fails, if a chargeback or payment dispute is initiated without valid reason, if there is suspected fraud, misuse or unauthorized payment activity, or if the User violates the License Agreement or applicable law.
8.2. The Company may discontinue a plan or feature by providing reasonable notice where practicable. If the Company permanently discontinues a paid plan before the end of a prepaid period and no substantially similar access is provided, the Company may provide a pro-rated refund or alternative remedy as required by applicable law or as determined by the Company in good faith.
9. Miscellaneous
9.1. If any provision of this Subscription Agreement is held to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect.
9.2. This Subscription Agreement is governed by the laws of the United Arab Emirates, unless the License Agreement validly provides for another governing law for a particular User or transaction.
